Brazil's Hypermarcas to buy diaper maker Mabesa




SAO PAULO, August 6, 2010-

HYPERMARCAS S.A. (the "Company" or "Hypermarcas"), according to the Article 157, 4th paragraph, of Law No. 6,404, dated as of December 15, 1976, as amended (the "Corporate Law"), and to Instruction No. 358/02 of the Brazilian Exchange Comission, as amended, hereby informs about the submission of a binding offer on August 5th, 2010, related to the acquisition of the shares representing one hundred per cent (100%) of the corporate capital of Mabesa do Brasil Ltda. and its affiliates ("Mabesa"), which business consists in the manufacture and trading of disposable and absorbent diapers, feminine pads, wet wipes, among others, sold under the trademarks Cremer-Disney, Plim Plim, Puppet, and Affective, among others (the "Binding Offer"), having been accepted on the date hereof.

Mabesa's acquisition is consistent with the Company's strategy of acquiring trademarks and assets in the Beauty and Personal Care sector, thus strengthening its portfolio of disposable products. Through this transaction, which comes to complement Pom Pom, Sapeka and York acquisitions, Hypermarcas consolidates its position as the largest national company in the disposable products sector, leader in both baby and geriatric diapers segments. With this acquisition, the Company adds another important industrial facility, in Mogi das Cruzes, counting with a broad production capacity to meet its clients' demand.
